Welcome to Kyrion Media. These Terms & Conditions (“Terms”) govern your access to and use of our services, website, platform, and distribution network (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.

1. Eligibility

    • You must be at least 18 years old and authorized to act on behalf of your company or organization.

    • Kyrion Media provides services only to businesses, agencies, and professional clients (e.g., PR, SEO, Marketing firms).

    • We do not serve individual consumers directly.

2. Services Provided

    • Kyrion Media provides content submission, distribution, syndication, publishing support, and analytics across our media network.

    • We reserve the right to review, approve, reject, unpublish, or request modifications to any submitted content.

    • Services may be modified, suspended, or discontinued at any time without prior notice.

3. Account Registration

    • Clients are responsible for maintaining the accuracy, security, and confidentiality of their account information.

    • Any activities conducted through your account are your responsibility.

4. Content Submission and Responsibility

By submitting content (“Content”) through our Services, you agree that:

    • You are solely responsible for the accuracy, legality, originality, and compliance of the Content.

    • Kyrion Media is a distribution intermediary, not the creator or publisher of submitted content.

    • We do not fact-check, edit, or endorse submitted Content.

    • You assume all legal responsibility for claims, disputes, or liabilities arising from the Content.

    • Kyrion Media retains the right to remove Content in response to takedown notices, DMCA requests, or internal compliance reviews.

5. Intellectual Property

5.1 Ownership

    • You retain ownership (or valid license rights) to the Content you submit.

    • By submitting Content, you grant Kyrion Media a worldwide, non-exclusive, royalty-free license to reproduce, distribute, syndicate, and display the Content for the purpose of providing the Services.

5.2 Representations & Warranties

You represent and warrant that:

    • You own or have secured all necessary rights, permissions, and licenses for the Content.

    • The Content does not infringe upon intellectual property, contractual, privacy, publicity, or other third-party rights.

    • The Content complies with applicable laws, including advertising, copyright, and disclosure regulations.

5.3 Indemnification

You agree to indemnify, defend, and hold harmless Kyrion Media, its affiliates, officers, employees, and partnersfrom any claims, damages, or expenses (including attorney fees) arising out of:

    • Infringement or misuse of intellectual property.

    • Violation of laws or regulations.

    • Disputes or damages resulting from distributed Content.

This obligation survives termination of these Terms.

6. Prohibited Content

You agree not to submit Content that:

    • Contains hate speech, obscenity, defamation, or discriminatory material.

    • Promotes violence, illegal activity, or fraudulent schemes.

    • References ongoing legal cases without verifiable documentation.

    • Involves securities trading, medical claims without approval, or misleading financial advice.

Kyrion Media reserves the right to reject or remove such content at its sole discretion.

7. Payments & Billing

    • Services are billed per agreed pricing packages, rate cards, or custom agreements.

    • Payment terms are Net 30 days from invoice unless otherwise specified.

    • Late payments may incur 1% monthly interest on overdue balances.

    • Non-payment may result in suspension or termination of Services.

8. Service Limitations & Disclaimers

    • Services are provided “as is” and “as available.”

    • We do not guarantee:

      • Placement on specific publishers.

      • Permanent visibility of Content.

      • Any particular business or marketing outcome.

    • Kyrion Media is not responsible for errors, omissions, delays, or technical issues in third-party systems.

9. Limitation of Liability

To the maximum extent permitted by law:

      • Kyrion Media shall not be liable for indirect, incidental, special, or consequential damages (e.g., lost profits, business interruptions).

      • Our total liability for any claim will not exceed the amount you paid to Kyrion Media within the six (6) months preceding the claim.

10. Termination

    • Kyrion Media may suspend or terminate Services if you violate these Terms or fail to make payments.

    • Upon termination:

      • You remain responsible for outstanding fees.

      • Content may be removed from active distribution, but archival copies may be retained for legal or operational purposes.

11. Confidentiality

Both parties agree to keep non-public business information confidential, unless required by law.

12. Governing Law

These Terms shall be governed under the laws of the State of Delaware, USA, unless otherwise specified in a separate written agreement.

13. Changes to These Terms

Kyrion Media may update these Terms from time to time. Continued use of Services constitutes acceptance of the updated Terms.
